Terms of service

This English version is a courtesy translation. The Spanish version (Términos y condiciones) is the legally binding text and prevails in case of any difference.

These terms of service (the “Terms”) govern the use of Promptusphere. Please read them carefully: by creating an account you accept them on your own behalf and on behalf of the Business you represent.

1. Parties and acceptance

These Terms are an agreement between [RAZÓN SOCIAL] (“Promptusphere” or “we”), with its address at [DOMICILIO], and the Business that creates a Workspace (“you” or the “Business”).

You accept these Terms by creating an account or using the Service. If you accept them on behalf of a company, you represent that you are of legal age and have authority to bind it. If you do not agree with them, do not use the Service.

The Service is intended for businesses and professionals for their business activity, not for consumers for personal use. You agree to receive notices and communications electronically, including email and in-app notices, and that your electronic acceptance has the same validity as a handwritten signature under Mexican law.

Our Privacy notice forms part of these Terms and explains how we process personal data.

2. Definitions

  • Service: the Promptusphere application, its website, its customer portals, its emails and its technical interfaces.
  • Workspace: the area of the Service that belongs to a Business, with its settings, Staff, templates, requests and data.
  • Business or Subscribing customer: the company or person that creates a Workspace and, where applicable, takes out the subscription.
  • Staff: the people the Business invites to its Workspace, with the role of owner, admin or member.
  • Business customers: the people the Business sends requests to or who fill in its forms. They use the portal free of charge and without creating an account.
  • Content: everything the Business, its Staff or Business customers upload or generate in the Service, such as templates, answers, files, comments, quotes and approvals.

3. Accounts, roles and access

Each Workspace has three Staff roles:

  • Owner: can do everything, including billing, cancellation, data retention and deleting the Workspace.
  • Admin: can do everything except billing, the subscription, transferring ownership and deleting the Workspace.
  • Member: can create and work on templates, requests, quotes and customers according to the application's permissions.

The Business is responsible for who has access to its Workspace and for everything its Staff do in it. You must keep access details accurate, protect credentials, remove access from anyone who should no longer have it and notify us immediately at [CORREO DE CONTACTO] if you suspect unauthorized access.

4. Free trial

You can try the Service free for 14 days without adding a card. During the trial you have every feature with these limits: 5 active requests, 3 Staff members, 1 GB of storage and 30 AI actions. Some bulk sending may be restricted.

When the trial ends, if you do not subscribe, the Workspace becomes read-only under the section “Read-only period and deletion”. The trial never turns into an automatic charge.

5. Plan, price and taxes

The Promptusphere plan costs MXN 299 per month per Business, VAT (IVA) included. The total payable is shown before you confirm payment. Business customers pay nothing to use the portal.

ItemPlan limit
Active requests30
Staff3 people
Storage10 GB
AI actions300 per subscription month
Custom portal domain1

An active request is one not yet completed or cancelled; if it is reopened, it counts again. An AI action is one visible drafting, extraction or summary operation within the published limits; failed operations do not consume credit.

6. Billing and payments

The subscription is billed monthly in advance, on a recurring basis, through Stripe, using the payment method you register. By subscribing you authorize us to make that charge every month until you cancel. You can manage your payment method, history and cancellation from the billing section of your account.

If a payment fails, Stripe may retry it and we will notify you by email. If the payment is not resolved, the subscription may be cancelled and the Workspace become read-only under these Terms.

7. Tax receipts

The receipts Stripe sends are payment receipts, not CFDI. For now we do not issue Mexican tax invoices (CFDI). If you need a tax invoice to deduct the expense, take this into account before subscribing.

8. Usage limits

When you reach a plan limit, you will not be able to create more of that resource (for example, new active requests or new AI actions) until space is freed, a new subscription month starts or you change plans. We will let you know when you get close to a limit.

Limits never block completing, approving or exporting existing requests.

9. Price changes

We may change the plan's price or limits. We will notify you by email at least 30 days in advance, and the change will apply from the first billing period after that notice. If you do not agree, you can cancel before it takes effect.

10. Cancellation and refunds

You can cancel at any time from your account. Cancellation takes effect at the end of the period already paid; until then you keep full access.

We do not give refunds for partial months or unused periods, except where the law requires it.

11. Read-only period and deletion

When the trial ends without a subscription or a cancelled subscription ends, the Workspace becomes read-only for 30 days. During that period you can view and export your information, and approvals your customers already had in progress can be completed, but you cannot create new requests, send reminders or use AI features.

At the end of the 30 days we send a deletion notice to the owners and, 14 days later, delete the Workspace's data. After that we cannot recover it, except for what remains temporarily in backups until they expire on their rotation, and billing records the law requires us to keep.

If you subscribe during the read-only period, the Workspace goes back to working normally.

12. Acceptable use

You agree that neither you nor your Staff will use the Service to:

  • Upload, request or share content that is illegal, infringes third-party rights, or is misleading, defamatory or violent.
  • Collect sensitive personal data, such as health data, religious beliefs, ethnic origin, political opinions, sexual preference or genetic information.
  • Send unsolicited or bulk email to people who have no relationship with you.
  • Upload or distribute malware or any harmful code.
  • Try to access another Workspace's data, break the isolation between workspaces or circumvent access or security controls.
  • Reverse engineer, decompile or try to obtain the source code of the Service, except where the law expressly allows it.
  • Circumvent plan limits, Turnstile or rate limits, or overload the Service with automated requests.
  • Resell the Service or use it to build a competing product.

We use Cloudflare Turnstile and rate limits to protect the Service. We may remove content that breaches this section.

13. Your content and your customers' data

Your Content and your customers' data belong to you. We acquire no ownership rights over them.

You grant us a limited, non-exclusive, royalty-free license, for as long as you use the Service, to host, store, copy, process, transmit and display your Content only as needed to provide the Service, keep it secure, give you support and comply with the law. This license includes sending our providers what is needed for those purposes, as described in the Privacy notice.

You are responsible for your Content and for holding the necessary rights to it. You can export your information while your Workspace is active or read-only.

14. Your customers' personal data

For the data you collect from your customers, you are the controller (responsable) and Promptusphere acts as processor (encargado), processing it only on your behalf and following your instructions to provide the Service to you.

You are responsible for having a legal basis to process that data, for giving your customers your own privacy notice, for obtaining any consents required and for handling their ARCO rights requests. We will support you with the Service's tools, such as export, access revocation and data deletion, and will forward to you any requests we receive from your customers.

15. Artificial intelligence features

Some features use artificial intelligence to suggest templates, extract information or summarize content. Their results are suggestions that a person must review before using them: they can be wrong, incomplete or unsuitable for your case.

Prices and totals are never computed by AI. They are calculated with fixed rules from the data your Staff enter. You are responsible for reviewing and approving what you publish or send to your customers.

16. Quotes and approvals

Quotes you generate in the Service are your Business's quotations addressed to your customers. They are not invoices or tax receipts, and they are not contracts or offers from Promptusphere. The commercial relationship with your customers is solely between you and them.

The Service records which version each person approved, with date and time. That record is useful as evidence of what was agreed, but it is not an advanced electronic signature (firma electrónica avanzada) or a certified signature, and we do not guarantee that it is sufficient on its own for every legal purpose.

17. Availability and support

We make reasonable efforts to keep the Service available and working well, but we do not offer a service level agreement (SLA) or guarantee that it will work without interruptions or errors. There may be maintenance, provider outages or causes beyond our control.

If an AI feature is unavailable, you can keep creating, completing, quoting and approving requests manually. Support is provided by email at [CORREO DE CONTACTO].

18. Test mode

While the Service indicates that it runs in test mode, payments are not processed: no real charge is made to your payment method, even though the subscription flow is shown in full. Data in a Workspace created in test mode may not be kept when the Service starts operating with real payments; we will let you know beforehand.

19. Third-party services

The Service relies on providers such as Stripe (billing), Clerk (Staff sign-in) and Cloudflare (infrastructure, email and abuse protection). When you use their features within the Service you may also be subject to their own terms, for example when paying with Stripe.

We are not responsible for third-party services you connect to the Service, such as your webhook destinations, your payment links or the messages you send through WhatsApp.

20. Promptusphere's intellectual property

The Service, its software, design, trademarks, library templates and texts belong to Promptusphere or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms while your Workspace is in effect. We grant you no other rights.

If you send us comments or suggestions, we may use them to improve the Service without any obligation to you.

21. Referral program

A Workspace owner can share their referral link. When a new business subscribes through that link and completes two successful monthly payments, the referrer receives one month of credit (MXN 299), applied to their next charges.

Credit is not cash, is not refundable or transferable, and does not apply to self-referrals, duplicate accounts, businesses that were already customers or refunded or reversed payments. We may deny or withdraw credit obtained abusively, and change or end the program with prior notice, honoring credit already earned.

22. Suspension

We may suspend or limit access to a Workspace if you breach these Terms, in particular the acceptable use section, if payment is not made, or if it is necessary to protect the Service, other users or third parties, or to comply with the law.

Where reasonable, we will notify you first and give you a chance to fix the situation. If the risk is serious or immediate, we may suspend first and notify you afterwards. We will lift the suspension once the cause is resolved.

23. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available”, without warranties other than those set out in these Terms.
  • We are not liable for indirect or consequential damages, such as lost profits, loss of revenue, customers, business opportunities or data, or for decisions you make based on AI results or third-party Content.
  • Our total liability for any claim related to the Service is limited to the amount you paid us for the Service in the 12 months before the event that gave rise to the claim.

Nothing in these Terms limits liability that cannot be limited under the law, such as liability arising from willful misconduct (dolo).

24. Indemnity

You agree to hold Promptusphere harmless and indemnify it against claims, fines, damages and reasonable expenses, including attorneys' fees, arising from your Content, from processing your customers' data without a legal basis or without your own privacy notice, from your commercial relationship with your customers or from your breach of these Terms or the law.

25. Changes to these Terms

We may update these Terms. We will publish each version on this page with its date. If a change is important, we will email Workspace owners at least 30 days in advance, unless the change is due to a legal obligation that requires applying it sooner. If you keep using the Service after it takes effect, you accept the new version; if you do not agree, you can cancel.

26. Termination

You can end this agreement at any time by cancelling your subscription and deleting your Workspace. We may end it if you seriously breach these Terms or do not fix a breach after our notice, or if we stop offering the Service, in which case we will give you reasonable advance notice and a chance to export your information.

On termination, the section “Read-only period and deletion” applies. Sections that by their nature should survive, such as intellectual property, limitation of liability, indemnity and jurisdiction, will continue to apply.

27. Governing law and jurisdiction

These Terms are governed by the federal laws of the United Mexican States. For any dispute, the parties submit to the competent courts of [CIUDAD], Mexico, and waive any other jurisdiction that may apply to them by reason of their present or future domicile, except where the law does not allow this waiver.

If any provision of these Terms is found invalid, the rest will remain in effect.

28. Contact
